1. Agreement to Terms
By accessing or using the services provided by Nexstack LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Description
Nexstack LLC provides digital design and development services including but not limited to:
- •Logo design and brand identity
- •Website design and development
- •Mobile application UI/UX design
- •Packaging design
- •Marketing creatives and collateral
3. Project Engagement
All projects begin with a formal proposal or contract outlining scope, deliverables, timeline, and pricing. By accepting a proposal or signing a contract, you agree to the specific terms of that engagement in addition to these general Terms of Service.
4. Payment Terms
- •A deposit of 50% is required before work begins unless otherwise specified
- •Final payment is due upon project completion and before final files are delivered
- •Invoices are due within 14 days of issuance unless otherwise agreed
- •Late payments may incur a fee of 1.5% per month
- •We accept payment via bank transfer, credit card, and major payment platforms
5. Revisions and Changes
Each project includes a specified number of revision rounds as outlined in your proposal. Additional revisions beyond the included amount will be billed at our standard hourly rate. Significant scope changes may require a revised proposal and additional fees.
6. Intellectual Property
- •Upon full payment, you receive full ownership and intellectual property rights to the final approved deliverables
- •Unused concepts and preliminary designs remain the property of Nexstack LLC
- •We reserve the right to display completed work in our portfolio unless otherwise agreed in writing
- •Third-party assets (stock images, fonts, etc.) are subject to their respective licenses
7. Client Responsibilities
To ensure successful project completion, clients agree to:
- •Provide necessary materials, content, and feedback in a timely manner
- •Designate a single point of contact for project communications
- •Review deliverables and provide feedback within 5 business days
- •Ensure all provided materials do not infringe on third-party rights
8. Project Timeline
Project timelines are estimates based on the agreed scope. Delays caused by late client feedback, scope changes, or circumstances beyond our control may extend the timeline. We will communicate any anticipated delays promptly.
9. Confidentiality
We treat all client information as confidential and will not disclose proprietary business information to third parties without your consent, except as required by law or as necessary to provide our services.
10. Limitation of Liability
To the maximum extent permitted by law, Nexstack LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
11. Termination
Either party may terminate a project with written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. Please refer to our Refund Policy for details on refunds upon termination.
12. Dispute Resolution
Any disputes arising from these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
13. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated terms.
